1. Who we are
Laytimetech is operated by PE Hazem Saker, a registered sole trader in Kyivska Oblast, Ukraine. In these terms "we" and "us" mean PE Hazem Saker trading as Laytimetech; "you" means the person or company using the Service. "The Service" means our website, our mobile apps and our desktop applications.
2. Acceptance
By creating an account you accept these terms. If you do not accept them, do not create an account or use the Service.
3. What the Service does
Laytimetech reads shipping documents and calculates laytime, demurrage and despatch from the terms and facts you supply. It produces a statement showing the calculation and its working.
4. The Service is a calculation tool, not advice
This is the most important term. Please read it.
Laytimetech does not give legal, commercial or professional advice. It applies the terms you enter to the facts you enter.
Every figure depends entirely on the accuracy of what is entered — whether typed by you or read from a document. Document reading is automated and will sometimes be wrong: it may misread a figure, miss a clause, or misinterpret one. The Service shows you what it read so that you can check it, and checking it is your responsibility.
Laytime and demurrage frequently turn on the interpretation of contract wording, on which reasonable parties disagree. The Service applies one reading. It does not know your fixture's history, side agreements, correspondence or governing law.
You must not rely on any output without independent verification. Any figure you present, claim, settle or pay on is your own, not ours.
5. Your documents
We do not store your documents. Files you upload are held in memory only for as long as it takes to read them, then discarded. They are never written to our servers, our database or any backup.
On the Team plan you can have a document typed out in full, page for page. Because that costs a read, we keep the transcript so that you never pay for the same pages twice: the text is stored against your account until you delete the document it came from. The file itself is still never kept.
To read a document its contents are transmitted to our document-reading provider, Anthropic, which does not use them to train its models.
6. Your responsibilities
You confirm that you are entitled to upload the documents you upload, and that doing so breaches no confidentiality obligation you owe. You are responsible for keeping your login secure and for everything done under your account.
7. Plans, payment and the end of a plan
The free calculator. The calculator is free, for ever, and no account is required to use it. Anyone may open it, enter the terms and the facts of a voyage by hand, and obtain the full calculation: the real engine, the real figures, and the whole time-counted table showing every period, the event behind it and the clause applied. A PDF and an Excel spreadsheet of the statement may be exported, and both are marked DEMO. The free calculator settles one port and one side of the fixture (charterer against owner); it does not read documents; and nothing is kept between sessions unless you sign in.
Signing in, which is free. An account costs nothing and adds one thing: your statements and voyages are saved, so you can reopen them later. It is what an account is for.
The trial. An account also begins with a free trial lasting three days, at no charge and without a payment card. It starts when you confirm your email address, and one trial is available per mailbox. Automated document reading is not part of the trial — you enter the facts yourself. The trial does not convert to a paid subscription automatically.
Complimentary access. We may give an account a period of a paid plan at no charge, by invitation. No payment card is required and nothing is charged at any point. There is nothing to cancel and it does not become a paid subscription: when the period ends the account returns to the free calculator in the ordinary way described below. Complimentary access may include a smaller document-reading allowance than the paid plan of the same name, and the invitation states the figure. An invitation is for one account, is spent when it is first used, and expires if it is not used.
When a trial or a paid plan ends. The account returns to the free calculator described above. Nothing is deleted and nothing stops working that was free. You keep your account, you sign in as before, you continue to calculate, to save statements and to open, read and export everything you had already saved. What ends is what was paid for: document reading, the clean exports, the second port and the other parties.
The Service does not require an account in order to calculate. The calculator is open to the public and no sign-in is needed to use it. An account is needed to keep your work, and a paid plan to have documents read and to export without the DEMO mark.
The paid plans. Professional is $99 per month, or $948 per year (equivalent to $79 per month). Team is $199 per month, or $1,908 per year (equivalent to $159 per month). Enterprise is an annual licence agreed with you and is not sold through the site. An annual plan is paid as a single payment for the year, not monthly. All prices are in US dollars and exclude any taxes that may apply where you are.
How much document reading is included. Professional includes the reading of 600 documents per calendar month. Team includes unlimited reading, subject to the fair-use provision below. Neither the free calculator nor the trial includes any document reading. A document counts when it is sent to be read; a document already held in your browser is not sent again, and a read that fails does not count against you. The count resets on the first day of each calendar month, and the current figure is shown in Settings at all times. If you reach the limit, document reading pauses until the reset and every other part of the Service continues to work — you can still enter the facts yourself, calculate, save and export. Write to us if you need a larger allowance and we will arrange one.
Fair use on Team. Unlimited means unlimited for any ordinary commercial use. So that a single runaway or automated account cannot generate unbounded cost, reading pauses above 3,000 documents in a calendar month — a hundred documents every day of the month. If you ever meet it, contact us and we will lift it.
How long a paid plan runs. A paid plan runs for the period you pay for — 30 days for a monthly plan, 365 days for an annual plan — and ends on the date shown in Settings. It does not renew by itself, and no card is charged without you. To continue, extend the plan from Settings. If you extend while a paid period is still running, the new period begins when the current one ends, so no day you have paid for is lost. If you move from Professional to Team while Professional is running, Team starts at once and the days left on Professional become Team days. We will give you at least 14 days' notice by email before any price change takes effect.
When a plan ends. There is nothing to cancel: a plan you do not extend simply ends at the end of the period you have paid for. The account then returns to the free calculator rather than closing: you go on calculating, saving and opening everything you have saved, and what ends is document reading, the clean exports, the second port and the other parties. Fees already paid are not refunded for the unused part of a period, except where the law gives you a right to a refund.
8. Availability
We aim to keep the Service running but do not guarantee it will be uninterrupted or error-free. We may change, suspend or discontinue any part of it.
9. Liability
To the fullest extent permitted by law, we are not liable for any loss arising from your use of the Service or from reliance on anything it produces. This includes any demurrage or despatch claimed, paid, under-claimed, over-paid, missed, time-barred or lost; any settlement, arbitration or litigation outcome; and any loss of profit, contract, business or reputation.
Where liability cannot lawfully be excluded, our total liability is limited to the fees you paid us in the twelve months before the claim.
Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
10. Intellectual property
The Service, its calculation engine and its interface are ours and remain ours. Statements you produce are yours, and you may use them freely, including under your own letterhead.
11. Changes
We may update these terms. Material changes will be notified in the Service or by email. Continuing to use it afterwards means you accept the updated terms.
12. Governing law
These terms are governed by the laws of Ukraine, and the courts of Ukraine have exclusive jurisdiction.
